Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Maverick International Enterprises LLC ("Polaris", "we", "us", or "our") governing your access to and use of the Polaris websites, applications, APIs, and services (together, the "Service"). By accessing or using the Service, creating an account, or clicking to accept, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. The Service

Polaris provides software tools that use artificial intelligence to help you generate marketing and advertising content, including video, images, voiceovers, captions, and copy. The Service is provided for your internal business use, subject to these Terms.

We are constantly improving the Service. We may add, change, suspend, limit, or discontinue any part of the Service, including features, models, credit costs, and limits, at any time and without liability to you. We do not guarantee that any particular feature, model, or capability will remain available.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. You must notify us promptly of any unauthorized use.

We may refuse, suspend, or terminate any account, and reclaim any username, at our sole discretion. You are responsible for all use of the Service under your account, whether or not authorized by you.

4. Plans, billing, and credits

The Service is offered on a paid subscription basis. Subscriptions are billed in advance on a recurring basis and automatically renew for successive periods until cancelled. By subscribing, you authorize us and our third-party payment processor to charge your payment method for all applicable fees, on each renewal, until you cancel.

Credits

Certain features consume "credits," a limited, revocable license to use compute on the Service. Credits have no monetary value, are not property, are not transferable, and are not redeemable for cash. Credits are consumed when a generation is requested, whether or not you are satisfied with the output.

No refunds

Except where prohibited by applicable law, all payments are final and non-refundable, and we do not provide refunds or credits for partially used periods, unused credits, generations you are unhappy with, downgrades, or periods during which your account is unused or suspended.

Prices and taxes

We may change prices, plans, and credit allowances at any time. Price changes apply to the next billing period. Fees are exclusive of taxes, and you are responsible for all applicable taxes, duties, and similar charges. If a payment fails, we may suspend or terminate your access. Initiating a chargeback or payment dispute may result in immediate termination and forfeiture of your account and any balances.

5. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect IMMEDIATELY and is irreversible: it ends your access at once and permanently deletes your account, including any unused credits and every generation, voiceover and setting stored in it. It does not wait for the end of the period you have already paid for, and we do not provide partial or pro-rated refunds for the remainder of that period. If you want to keep access for the rest of a period you have paid for, do not cancel — simply let the subscription run and turn off renewal before the next charge. We may suspend or cancel your subscription at any time as described in these Terms. Our Refund & Cancellation Policy at /refunds sets this out in full, and our Data Retention Policy at /data-retention explains how long generated files are kept.

6. Acceptable use

You agree that you will not, and will not permit anyone else to:

• use the Service in violation of any law, regulation, or third-party right, or for any unlawful, harmful, fraudulent, deceptive, defamatory, or misleading purpose;
• generate, upload, or distribute content that infringes intellectual property, violates privacy or publicity rights, or depicts a real, identifiable person (including their name, voice, or likeness) without all necessary rights and permissions;
• create content that is sexually explicit, hateful, harassing, violent, or that exploits or endangers minors;
• impersonate any person or entity or misrepresent your affiliation;
• reverse engineer, decompile, or attempt to discover the source code, models, or underlying technology of the Service, except to the extent this restriction is prohibited by law;
• scrape, crawl, or use automated means to access the Service except through interfaces we provide; resell, sublicense, rent, or provide the Service to third parties; or share account access;
• circumvent, disable, or interfere with usage limits, credits, security, or rate limits, or place an unreasonable load on our infrastructure; or
• use outputs in any manner that violates the acceptable-use or usage policies of the third-party AI providers that power the Service.

We may investigate suspected violations, remove content, and suspend or terminate access, in each case at our discretion and without liability.

7. Your content and the license you grant us

"Input" means the content, prompts, product information, media, and other materials you submit to the Service. "Output" means the content generated by the Service in response to your Input. As between you and us, you retain whatever rights you have in your Input.

You grant Maverick International Enterprises LLC a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to host, store, reproduce, modify, adapt, publish, translate, process, and create derivative works from your Input and Output, in order to operate, provide, secure, support, and improve the Service and our business. You represent and warrant that you own or have all rights necessary to grant this license and to submit your Input, and that your Input and your use of Output do not and will not infringe or violate any right or law.

You are solely responsible for your Input and for your use of any Output. We have no obligation to monitor, store, or back up your content, and may remove or delete content at any time.

8. AI-generated output

Output is generated by machine-learning models and is inherently probabilistic. Output may be inaccurate, incomplete, offensive, or otherwise objectionable, and, because of the nature of the technology, similar or identical Output may be generated for you and for other users. We do not represent or warrant that Output is unique, original, accurate, non-infringing, or suitable for any purpose.

You are solely responsible for evaluating, reviewing, editing, and verifying all Output before relying on or publishing it, including ensuring it complies with all applicable laws (such as advertising, consumer-protection, and disclosure laws) and does not infringe third-party rights. Nothing in the Service is advertising, legal, financial, or professional advice, and we make no guarantee of any result, performance, engagement, conversion, return on ad spend, or other outcome.

To the extent we hold any rights in Output generated for you, and subject to your full compliance with these Terms and with the terms of the applicable third-party model providers, we assign such rights to you. You understand that identical or similar Output may be assigned to other users in the same way.

9. Our intellectual property

The Service, including all software, user interfaces, designs, text, graphics, the Polaris name and logos, and all related intellectual property, is and remains the exclusive property of Maverick International Enterprises LLC and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved. You may not use our trademarks without our prior written consent.

10. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it for any purpose without restriction, attribution, or compensation. Feedback is not confidential.

11. Third-party services

The Service relies on and integrates third-party services, including payment processing, hosting, storage, and third-party AI model and media providers. Your use of the Service may be subject to those third parties' terms and policies. We are not responsible for, and disclaim all liability arising from, third-party services, and we do not control and are not responsible for their availability, acts, or omissions.

12. Referral and affiliate program

If we offer a referral or affiliate program, your participation is subject to these Terms and any additional program rules we publish. Commissions are earned only on qualifying, completed, and non-refunded payments actually received by us. We may set, change, or discontinue commission rates, structures, attribution windows, and the program itself at any time.

We may withhold, reduce, reverse, or claw back commissions in the event of refunds, chargebacks, cancellations, suspected fraud, self-referral, incentivized or misleading promotion, or any violation of these Terms or program rules, and we may disqualify any participant at our discretion. Payouts are made through our third-party platform and are subject to its requirements, including identity verification and tax documentation. Unpaid commissions have no cash value and may be forfeited.

13. Suspension and termination

We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms or that your use poses a risk to us, other users, or third parties.

Upon termination, your license to use the Service ends immediately and we may delete your account and content. You will not be entitled to any refund. Provisions that by their nature should survive termination — including ownership, licenses granted to us, disclaimers, limitations of liability, indemnification, and dispute resolution — survive.

14. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAVERICK INTERNATIONAL ENTERPRISES LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUT WILL BE ACCURATE, RELIABLE, LAWFUL, OR MEET YOUR REQUIREMENTS. YOU USE THE SERVICE AND OUTPUT AT YOUR OWN RISK.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAVERICK INTERNATIONAL ENTERPRISES LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR OUTPUT, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

16. Indemnification

You will defend, indemnify, and hold harmless Maverick International Enterprises LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Input, your Output, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

17. Governing law and dispute resolution

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, and, where applicable, the U.S. Federal Arbitration Act.

You and Polaris agree that any dispute will be resolved exclusively through final and binding individual arbitration, or, at our election for a given matter, in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

TO THE EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Disputes must be brought in an individual capacity only. Any claim must be filed within ONE (1) YEAR after it arises, or it is permanently barred.

18. Changes to these Terms

We may modify these Terms at any time. The "Last updated" date above shows when the latest version took effect. If we make material changes, we may notify you through the Service or by email. Your continued access to or use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

19. General

These Terms, together with the Privacy Policy and any program rules referenced here, are the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. Nothing in these Terms creates any partnership, agency, employment, or joint-venture relationship. Headings are for convenience only.
